Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and TruckerProfit Inc., a Delaware C-Corporation ("Company," "we," "us," or "our"), governing your access to and use of the Iron Route GPS mobile application and web service (collectively, the "Service").

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not access or use the Service.

2. Eligibility

You must be at least 18 years of age to use the Service. By using Iron Route GPS, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement. Iron Route GPS is designed for commercial motor vehicle operators who hold valid commercial driving licenses (CDL) or equivalent credentials in their jurisdiction.

3. Description of Service

Iron Route GPS is a commercial truck navigation and fleet management application that provides:

• Truck-specific GPS navigation with height, weight, and length restrictions
• Toll cost calculation and route optimization
• Real-time weather alerts along routes
• Hours of Service (HOS) timer and compliance tools
• IFTA mileage tracking by state/jurisdiction
• Police and hazard alert reporting (community-sourced)
• Fleet tracking and dispatch management (Fleet plan)
• Voice-activated search and navigation
• Route history and saved routes

4. User Accounts

To access certain features, you must create an account. You agree to provide accurate, current, and complete information during registration, maintain and promptly update your account information, maintain the security of your password and accept all risks of unauthorized access, and notify us immediately if you discover any unauthorized use of your account.

You are responsible for all activities that occur under your account. We reserve the right to suspend or terminate accounts that violate these Terms.

5. Subscription Plans and Payment

5.1 Plans

• Free Plan: Limited to 3 routes per day. Includes basic truck navigation, toll display, and weather alerts.
• Driver Pro ($4.99/month): Unlimited routes, advanced toll optimization, HOS timer, IFTA tracking, voice search, police alerts, route history, and offline maps.
• Carrier Fleet ($9.99/month per vehicle): All Pro features plus real-time fleet tracking, dispatch management, driver analytics, and fleet reporting.

5.2 Billing

Subscriptions are billed monthly through Stripe. Your subscription will automatically renew at the end of each billing period unless cancelled. You may cancel at any time through your account settings or by contacting support. Cancellation takes effect at the end of the current billing period. No prorated refunds are provided for partial months.

5.3 Price Changes

We reserve the right to modify pricing with 30 days' advance notice. Continued use after a price change constitutes acceptance.

5.4 Refund Policy

Refunds may be issued within 7 days of initial subscription purchase if you are unsatisfied with the Service. Contact support@truckerprofit.com for refund requests. App Store and Play Store purchases are subject to the respective platform's refund policies.

6. Acceptable Use

You agree NOT to:

• Use the Service while driving in a manner that distracts from safe vehicle operation
• Submit false police reports, hazard alerts, or facility reviews
• Attempt to reverse-engineer, decompile, or extract source code from the Service
• Use automated scripts, bots, or scrapers to access the Service
• Circumvent route limits on the Free plan or share Pro/Fleet account credentials
• Use the Service for any illegal purpose or in violation of any applicable law
• Interfere with or disrupt the Service's infrastructure
• Impersonate any person or entity or misrepresent your affiliation
• Upload malicious code, viruses, or harmful content

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• Navigation routes will be free from errors or suitable for all commercial vehicles
• Toll calculations will be 100% accurate (toll rates change frequently)
• Weather data will be current or accurate
• The Service will be uninterrupted, timely, secure, or error-free
• Police or hazard alerts submitted by users will be accurate or current
• IFTA mileage calculations will match official records exactly
• HOS timer calculations will satisfy DOT compliance requirements (use certified ELD devices)

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TRUCKERPROFIT INC., ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of (or inability to access or use) the Service
• Any routing errors, incorrect toll calculations, or navigation inaccuracies
• Any vehicle damage, traffic violations, or accidents arising from reliance on the Service
• Unauthorized access to or alteration of your data
• Any third-party conduct on the Service (including user-submitted alerts)

OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $50, WHICHEVER IS GREATER.

10. Indemnification

You agree to defend, indemnify, and hold harmless TruckerProfit Inc. and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

11. Intellectual Property

The Service and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by TruckerProfit Inc. and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

"Iron Route GPS," "TruckerProfit," "IronRoute," and associated logos and designs are trademarks of TruckerProfit Inc. You may not use these marks without our prior written consent.

12. User-Generated Content

When you submit content to the Service (such as police alerts, facility reviews, or hazard reports), you grant TruckerProfit Inc. a non-exclusive, worldwide, royalty-free, perpetual, irrevocable license to use, modify, display, and distribute such content in connection with the Service. You represent that you own or have rights to any content you submit and that it does not violate any third party's rights.

13. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

14. Dispute Resolution

14.1 Informal Resolution

Before filing any formal proceedings, you agree to first contact us at legal@truckerprofit.com and attempt to resolve any dispute informally for at least 30 days.

14.2 Arbitration

Any dispute not resolved informally shall be settled by binding arbitration in accordance with the rules of the American Arbitration Association (AAA), conducted in Newark, New Jersey. The arbitrator's decision shall be final and binding.

14.3 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

14.4 Exceptions

Either party may seek injunctive or equitable relief in any court of competent jurisdiction for intellectual property infringement or unauthorized access claims.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal proceedings not subject to arbitration shall be brought in the federal or state courts located in Delaware.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes via email or in-app notification at least 30 days before the changes take effect. Your continued use of the Service after the revised Terms become effective constitutes your acceptance.

17. Miscellaneous

• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and TruckerProfit Inc. regarding the Service.
• Waiver: Our failure to enforce any right or provision of these Terms shall not be considered a waiver of those rights.
• Assignment: We may assign our rights and obligations under these Terms without your consent. You may not assign yours without our prior written approval.
• Force Majeure: We shall not be liable for any failure to perform due to circumstances beyond our reasonable control, including natural disasters, pandemics, government actions, or service provider outages.
